Matchpreneurs.ai — Channel Terms & Conditions

Platform operator: Compoundio Technology Holding GmbH (“Matchpreneurs.ai”, “we”,
“us”)
Channel Owner: The organization (legal entity or non-registered community) creating the
Channel (“Channel Owner”, “you”)
0) Plain-language summary (non-binding)
A Channel is a branded space on Matchpreneurs.ai for a community. You provide basic
information and brand assets; we set up the Channel on the Platform. You can invite your
community to join through your Channel and (optionally) receive a badge indicating they
came through your Channel. If issues arise, we generally seek clarification with the Channel
Admin first and may take proportionate steps where needed to protect users and the Platform.
1. Relationship to the Main Terms
These Channel Terms apply to the creation and operation of Channels on Matchpreneurs.ai.
They supplement the Matchpreneurs.ai general Terms & Conditions and Privacy Policy (the
“Main Terms”). If there is a conflict, these Channel Terms govern only the Channel-specific
topics (Channel setup, Channel branding, Channel administration). For everything else, the
Main Terms apply.
1A. Non-exclusivity
This Channel relationship is non-exclusive. Either party may work with others, including
other platforms, communities, and partners.
2. Definitions
Platform: Matchpreneurs.ai and related services.
Main Terms: The Matchpreneurs.ai Terms & Conditions and Privacy Policy.
Channel: A dedicated branded space on the Platform (e.g., Channel page, description, links,
optional About/Why content, optional resources).
Channel Owner (“you”): Either (a) a legal entity acting through an authorized representative
or (b) an informal community acting through an individual owner/admin.
Channel Owner (individual): If there is no legal entity, the individual accepting these Channel
Terms acts as the Channel Owner personally.
Channel Admin: Person(s) authorized by the Channel Owner to manage the Channel. For the
Channel request flow, “Channel Admin” also includes the person submitting the Channel
request on behalf of the Channel Owner.
Channel Members: Users on the Platform who are attributed to a Channel (e.g., by joining via
a Channel link/invite and/or receiving a Channel badge).
Badged Members: Channel Members who display a Channel badge (logo/name) on their
profile.
Channel Content: Name, logo, descriptions, links, visuals, and other materials submitted for
the Channel.
Go-Live Confirmation: Matchpreneurs.ai’s explicit confirmation that the Channel will be
activated (e.g., email/in-platform confirmation).
Channel Attribution: The Platform’s designation that a user is associated with a specific
Channel (e.g., via invite/link and/or badge assignment). Channel Attribution is a Platform
feature and does not create any legal membership, employment, agency, or representation
relationship.
3. Who can request to create and own a dedicated Channel?
A Channel can be requested to create and own by:
• a legal entity; or
• an informal community via an individual Channel Owner.
If you are not a legal entity, the individual accepting these Channel Terms accepts personally
and is responsible for compliance.
4. Channel request and activation flow
4.1 Request submission: The Channel Admin submits a Channel request and accepts these
Channel Terms and the Main Terms (checkbox).
4.2 Review: Matchpreneurs.ai reviews the request before creating/activating a Channel.
Submitting a Channel request does not create any entitlement to a Channel; Matchpreneurs.ai
may approve or decline requests at its discretion.
4.3 Go-Live Confirmation: A Channel becomes active only after Go-Live Confirmation.
4.4 Credentials: After activation, Matchpreneurs.ai may provide credentials to approved
Channel Admins.
5. Authority & rights warranty
By submitting Channel Content or requesting a Channel, you represent and warrant that you
are authorized to create and manage the Channel (and if you represent a legal entity, you have
authority to bind it) and that you own or have permission to use and provide all Channel
Content (including names, logos, and trademarks).
5A. Channel Administration & Responsiveness
Channel Administration & Responsiveness. The Channel Owner/Channel Admin(s) are
expected to reasonably maintain the Channel and cooperate with Matchpreneurs.ai in
operating it, including by reviewing and responding to inquiries related to the Channel within
a reasonable time. As a guideline, Channel Admin(s) should log in and review Channel
activity regularly. If Channel Admin(s) are non-responsive for twenty-one (21) consecutive
days or more despite reasonable attempts to contact them, Matchpreneurs.ai may, where
necessary to maintain platform quality and user experience, take appropriate measures at its
discretion (for example: temporarily pausing Channel visibility or Channel features, limiting
access, or placing the Channel into an inactive state) until responsiveness is restored.
5B. Communications and Channel Admin(s) Contact Details
Channel Admin(s) must maintain accurate and up-to-date contact information and ensure
they can receive messages from Matchpreneurs.ai. Matchpreneurs.ai may contact Channel
Admin(s) using the email address on file and/or via in-Platform communications in
connection with Channel operations, compliance, and support. If contact details are
inaccurate or messages repeatedly cannot be delivered, Matchpreneurs.ai may take
appropriate measures to maintain platform quality and user experience, including temporarily
placing the Channel into an inactive state until contactability is restored.
6. License to use Channel Content
You grant Matchpreneurs.ai a non-exclusive, worldwide, royalty-free license to host, store,
reproduce (as technically necessary), and display Channel Content solely to operate, display,
and promote the Channel and the Platform, consistent with any brand guidelines you provide.
6A. External Resources and Links: Channel Content may include external links/resources.
The Channel Owner is responsible for ensuring linked resources are lawful, accurate, and do
not contain malicious code. Matchpreneurs.ai may remove, disable, or limit links at its
discretion where necessary to protect users or the Platform.
7. Public Announcement and Use of Name/Marks
After acceptance of these Channel Terms and Go-Live Confirmation, Matchpreneurs.ai may
publicly announce the Channel collaboration and use your corporate name and/or Channel
name (and provided logos/marks) on our website, within the Platform UI, and on social
media, with or without tagging your official accounts. We will use reasonable care to reflect
your name/brand accurately and, where you provide guidelines, to follow them.
8. Channel Badges
Channel Members may receive a visible Channel badge (Logo or Similar) indicating they
joined via that Channel/community. Badges are informational signals and do not imply
certification, endorsement, identity verification, or guaranteed outcomes.
8A. No Outcome Guarantee; No Brokerage; No Advice
Matchpreneurs.ai provides a platform for matchmaking and collaboration. Matchpreneurs.ai
does not guarantee any outcomes (including jobs, hires, investments, partnerships, sales, or
introductions), and does not act as a broker, agent, or intermediary for any transaction. Any
information provided on the Platform is for general informational purposes and does not
constitute legal, financial, or investment advice.
8B. Confidentiality and sensitive information
Channels and Channel Members may exchange information that is sensitive or confidential.
Matchpreneurs.ai does not control what users share with each other. Channel Owners and
Channel Admin(s) should advise their members to share sensitive information carefully and,
where appropriate, use a separate NDA or confidentiality agreement.
9. Channel Members and acceptable use
9.1 Channel Members are Platform users and must comply with the Main Terms, including
acceptable use (no spam, no impersonation, no scraping, etc.).
9.2 Channel Admins must not scrape, export, resell, or misuse Platform user data.
9.3 Channel Membership Limitation (One Channel at a time)
Matchpreneurs.ai may limit users to being attributed as a Channel Member in only one
Channel at a time. If a user is already attributed to another Channel, they may be unable to
join your Channel unless they leave the other Channel first (or their Channel Attribution is
otherwise updated). Matchpreneurs.ai may determine and apply attribution logic at its
discretion to maintain platform integrity.
9.4 Limited Member Information for Channel Operations
Channel Owner/Admin(s) may access limited Channel Member information made available
by the Platform that is reasonably necessary to operate the Channel (e.g., member list / basic
identifiers). Channel Owner/Admin(s) must use it only for Channel operations on
Matchpreneurs.ai, must not use it for unrelated purposes, and must comply with applicable
privacy laws and the Main Terms.
10. Platform integrity and issue handling
Matchpreneurs.ai aims to maintain a safe and professional environment. If we become aware
of conduct or Channel Content that may conflict with these Channel Terms or the Main
Terms, we may contact the Channel Admin to clarify and resolve the matter. Where
necessary to protect users, the Channel, or the Platform (including urgent situations),
Matchpreneurs.ai may take appropriate measures at its discretion, such as reducing visibility,
pausing features, adjusting badge assignment, or discontinuing Channel access or specific
accounts. Where practicable, we will provide notice or an explanation.
10A. Facilitated Introductions (“Warm Intros”)
Matchpreneurs.ai may facilitate introductions between users (including Channel Members)
where relevant to matchmaking and collaboration. This may include highlighting or
recommending user profiles to other users via in-Platform features or messages, based on
information already visible on the Platform. Where Matchpreneurs.ai introduces users by
email (e.g., including both parties on the same email), Matchpreneurs.ai may do so only after
obtaining consent from the users involved and/or where otherwise permitted under applicable
law and the Main Terms.
11. Termination and Channel Closure
These Channel Terms apply from acceptance and remain effective while the Channel is
active. Either party may request Channel closure by contacting Matchpreneurs.ai. Unless a
time-limited Channel arrangement is agreed in writing, either party may request closure with
one (1) month’s notice. After closure, the Channel page and badge association may be
discontinued, subject to legal, security, and operational retention needs consistent with the
Main Terms and Privacy Policy.
For clarity: once a Channel is closed, any Channel badges associated with that Channel are
automatically removed from affected Channel Members’ profiles.
11A. Effect of Channel Closure on Channel Members
After a Channel is closed or discontinued, Channel Members who have been accepted as
Platform users remain users of Matchpreneurs.ai under the Main Terms. Channel closure
affects only the Channel presence and Channel badge attribution and does not, by itself,
delete or deactivate user accounts.
12. Fees and Pricing
12.1 Beta and future pricing: The Platform is currently in a beta phase and may be offered on
a freemium basis; Matchpreneurs.ai may introduce paid plans, premium features,
quotas/limits, or other monetization models over time, as described in the Main Terms.
12.2 Pricing changes: Matchpreneurs.ai may set, adjust, or introduce fees applicable to
Channels and/or Channel-related features. Where a pricing change affects a Channel,
Matchpreneurs.ai will notify the Channel Admin(s) in advance with a minimum notice period
of one (1) month, unless (i) a different notice period is required by law, (ii) an earlier change
is necessary for security, legal, or operational reasons, or (iii) a separate written addendum
with that Channel Owner specifies different commercial terms.
12.3 Channel-specific addenda: Any Channel-specific addendum is an exception applicable
only to that Channel Owner and does not change these Channel Terms for other Channels.
13. No Legal Partnership / No Agency
Creating a Channel does not create an agency, employment, joint venture, fiduciary
relationship, or legal partnership between the parties, and neither party may bind the other.
References to “collaboration”, “Channel partner”, or “partnership” in the product or in
communications are descriptive only and do not create a legal partnership.
14. Changes
We may update these Channel Terms for product, security, or legal reasons. If changes are
material, we will provide reasonable notice by email and/or by displaying a notice on the
Platform, consistent with the Main Terms.
15. Governing law
These Channel Terms follow the governing law / jurisdiction approach set out in the Main
Terms.
16. Severability
If any provision of these Channel Terms is held to be invalid or unenforceable, the remaining
provisions will remain in full force and effect.
